Terms of Service

1. Agreement to Terms

By accessing or using StageSync ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. StageSync is operated by StageSync LLC ("we," "us," or "our").

2. Description of Service

StageSync is a marketplace platform that connects musicians and bands ("Musicians") with venues and event organizers ("Venues") for live performance bookings. We facilitate introductions and transactions but are not a party to any booking agreement between Musicians and Venues.

3. User Accounts

You must create an account to use StageSync. You agree to:

• • Provide accurate and complete information during registration
• • Maintain the security of your account credentials
• • Notify us immediately of any unauthorized use of your account
• • Be at least 18 years of age to create an account
• • Complete the onboarding process before accessing platform features

4. Musician Terms

As a Musician on StageSync, you agree to:

• • Accurately represent your act, including band size, genres, and capabilities
• • Honor bookings once confirmed through the platform
• • Communicate exclusively through StageSync for all booking-related matters
• • Not solicit or accept payment outside of the platform for bookings initiated on StageSync
• • Maintain professional conduct with Venues at all times
• • Provide accurate media samples and profile information

5. Venue Terms

As a Venue on StageSync, you agree to:

• • Accurately represent your venue, including capacity, equipment, and payment terms
• • Honor bookings once confirmed and pay the agreed amount to Musicians
• • Not solicit or pay Musicians outside of the platform for bookings initiated on StageSync
• • Post gigs only for legitimate live performance opportunities
• • Maintain professional conduct with Musicians at all times
• • Comply with your chosen subscription plan limits regarding gig drops per month

6. Subscriptions and Payments

StageSync offers subscription plans for Venues and optional Pro membership for Musicians. By subscribing you agree to:

• • Pay all applicable subscription fees as described on our pricing page
• • Subscriptions are billed monthly and renew automatically until cancelled
• • Cancellations take effect at the end of the current billing period
• • No refunds are provided for partial months of service
• • We reserve the right to change pricing with 30 days notice

7. Platform Fees

StageSync charges subscription fees to Venues for access to the platform. Musicians may optionally subscribe to a Pro plan. All payment processing is handled by Stripe. StageSync is not responsible for payment disputes between Musicians and Venues outside of the platform escrow system.

8. Prohibited Conduct

You may not:

• • Circumvent the platform to book or be booked outside of StageSync
• • Post false, misleading, or fraudulent information
• • Harass, threaten, or abuse other users
• • Use the platform for any illegal purpose
• • Attempt to reverse engineer or scrape the platform
• • Create multiple accounts to circumvent bans or restrictions
• • Manipulate ratings or trust scores

9. Trust Scores and Ratings

StageSync maintains trust scores and ratings for both Musicians and Venues based on platform activity and user feedback. These scores are calculated algorithmically and reflect historical performance on the platform. We reserve the right to adjust scoring methodologies at any time. Ratings submitted must be honest and based on actual experiences.

10. Cancellations

Cancelled gig drops still count toward your monthly drop limit. Musicians who cancel confirmed bookings without reasonable notice may have their trust scores affected. Venues that cancel confirmed bookings may be subject to account review. Repeated cancellations by either party may result in account suspension.

11. Intellectual Property

You retain ownership of content you upload to StageSync, including photos, audio, and video. By uploading content, you grant StageSync a non-exclusive license to display and use that content to operate the platform. StageSync's branding, design, and software are owned by StageSync LLC and may not be reproduced without permission.

12. Disclaimer of Warranties

StageSync is provided "as is" without warranties of any kind. We do not guarantee the quality, reliability, or professionalism of any Musician or Venue on the platform. We are not responsible for any disputes, losses, or damages arising from bookings made through StageSync.

13. Limitation of Liability

To the fullest extent permitted by law, StageSync shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to lost profits, lost bookings, or damage to reputation.

14. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms of Service, engage in fraudulent activity, or harm the platform community. Users may delete their accounts at any time from the Settings page.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.

16. Changes to Terms

We may update these Terms at any time. Continued use of StageSync after changes constitutes acceptance of the new Terms. We will notify users of significant changes via email or in-app notification.
